Role Summary:

The Corporate Affairs Specialist ensures the effective functioning of the Board of Directors and its committees by providing comprehensive administrative and governance support. This role is pivotal in upholding corporate governance standards, ensuring compliance with legal and regulatory requirements, and facilitating clear communication between the Board, executive management, and stakeholders.

 

Key Responsibilities:

Organize and coordinate Board and committee meetings, including scheduling, agenda preparation, and distribution of materials.

Record accurate minutes of meetings and monitor the implementation of decisions and action items.

Ensure compliance with corporate laws, regulations, and internal policies, particularly those related to joint stock companies under Egyptian law.

Maintain and update corporate records, charters, governance documents, and statutory filings.

Serve as the liaison between the Board, executive management, and external stakeholders, including regulatory bodies.

Advise the Board on governance best practices and regulatory developments.

Coordinate the induction and ongoing training of Board members.

Facilitate periodic Board evaluations and support continuous improvement in governance practices.

 

Qualifications and Experience:

Bachelor’s degree in Law, Business Administration, Corporate Governance, or a related field.

Minimum of 5 years of experience in a corporate governance, legal, or corporate secretary role, preferably within a joint stock company or regulated environment.

In-depth knowledge of Egyptian corporate laws, governance frameworks, and compliance requirements.

Proficiency in Arabic and English, with excellent drafting and communication skills.

High level of professionalism, integrity, and attention to detail.

Experience in liaising with government stakeholders or regulators is advantageous.
